Inheritance is not succession
Shares can pass quietly. A company cannot. The difference is the whole problem.
Most Indian family businesses have an inheritance plan. A will. A holding structure. A conversation with the CA about who gets what.
Very few have a succession plan. Succession is not about who owns the shares. It is about who can run the company on a Tuesday morning when the founder is not in the room.
Your son may inherit the shares. That does not mean he inherits the ability, or the desire, to run the company.
Customers do not transfer with a share certificate. Neither do supplier terms, the unwritten credit arrangements, or the knowledge of which machine operator actually keeps the line running.
Inheritance is a legal event. Succession is an operating condition. Appropriate works on the second.
